Terms

These general terms and conditions apply to services provided by Miriam Ward Bookkeeping Services (MWBS). Additional terms and conditions may apply to certain services.

General:

- Use of the service signifies acceptance of these terms and conditions.

- All rights are reserved.

- All quotations supplied by MWBS are valid for 30 days unless stated otherwise.

- MWBS will complete work promptly and to agreed deadlines. It is the Clients responsibility to provide MWBS with documents and information in sufficient time for us to carry out the services requested by you. If you have an urgent deadline to meet, this may be subject to a surcharge.

- MWBS accepts no responsibility for the accuracy of physical documentation or virtual electronic data supplied by the client. Clients should ensure that all documents and information provided to MWBS, or that is provided on your behalf, is true, accurate, complete and relevant to your business.

- MWBS agrees it will not divulge to third parties, without the prior written consent of the Client, any information obtained from or through the Client in connection with the performance of this agreement. All work is handled in a highly confidential and secure manner and will not be disclosed to any other party whatsoever. On request, MWBS can sign a client Non-disclosure or Confidentiality Agreement.

- The Client agrees that MWBS can contact any relevant third party as is appropriate for information considered necessary to carry out the services requested by you.

- MWBS will not be liable in respect of any losses or damage suffered by the Client as a result of any misrepresentation, illegal or fraudulent behaviour on your part. MWBS will refuse to carry out any work which
involves money laundering, fraud or criminal activity.

- All costs incurred in delivering documents to MWBS are the sole responsibility of the client.

- The Client agrees to notify MWBS of any important changes in the Clients (company's) circumstances if they are likely to affect the service MWBS agrees to provide or is providing.

- The services provided by MWBS may be performed onsite (Client office) or offsite (MWBS Office). In the instances where MWBS is required to work at the Clients premises, MWBS will take all due care and consideration to ensure no loss and/or damage occurs. However, MWBS shall not be held responsible for any loss and/or damage incurred whilst at your premises.

- MWBS endeavours to conduct it's business to the highest standards and to provide error-free work. Typographical errors / mistakes which are clearly MWBS’s fault will be corrected at no charge; however, client revisions will be charged at the agreed rate and final proofreading is the responsibility of the Client. Clients are required to review all work completed by MWBS within 7 days of it being returned to them. All necessary changes must be brought to
our attention immediately. After the 7-day period, MWBS shall accept no liability thereafter.

- MWBS claims no responsibility for the accuracy, content, or availability of information provided through use of its service. MWBS encourages its Clients to determine and abide by the advice of their accountant, Irish Taxation
Office, Irish Government and other relevant statutory organisations.

- MWBS keeps all clients records for a period of 7 years. After ths period the file maybe disposed of in a safe and secure manner. If new and additional paperwork is generated by MWBS when carrying out work, MWBS retains ownership of such paperwork. A copy of this paperwork can be provided to the client on request.

- The client agrees to pay MWBS for services in accordance with schedules of charges agreed upon between the parties.

- MWBS reserves the right change charges and / or introduce new fixed charges from time to time. If charges are increased or MWBS introduces new fixed charges, MWBS will give clients twenty one 21 days prior notice. The Client shall be free to dissolve the contract upon receipt of altered terms and conditions. Any use of the Service
by the Client after such notice shall be deemed to constitute acceptance by the Client of such amendments, modifications or new conditions.

- If a Client is deemed in breach of these Terms & Conditions, MWBS may terminate all services and start subsequent legal action.

- The Client agrees to provide MWBS with 30 days notice of termination (in writing) of our services unless it is a
'one off' service from MWBS. MWBS will issue the Client with an invoice for any work completed up to the
termination date.

- These terms and conditions are governed by and to be construed in accordance with Irish law.

Payment Terms:

- All services sales to clients are invoiced on completion of work with strict payment terms of 14 days from date of invoice, unless otherwise stated.

- MWBS accepts payment by Cheque or electronic bank transfer. The preferred method of payment is bank transfer. All invoices are payable in Euro.

- Where payments for services remain outstanding beyond their due date, MWBS retains the right to levy a finance charge of 3% per month until payment is received and cleared through MWBS’s bank account. Furthermore, the MWBS retains the right to cancel outstanding services and suspend further services to the Client until all
outstanding balances have been cleared.

- If a cheque is returned unpaid by the Client’s bank, MWBS reserves to the right to charge a penalty fee of 20 to cover costs associated with recovering the outstanding amount.
